According to bank provided information, the proposed investment is an unfunded risk participation for up to US$ 10 million in a US$50 million uncommitted bilateral revolving transactional trade finance facility extended by Banque Internationale de Commerce-BRED (Suisse) SA (BIC-BRED) (the BIC-BRED Facility) for Touton SAS (Touton), leading global cocoa, coffee and vanilla commodity trader for more than 150 years, to finance the procurement and storage of traceable cocoa from Nigeria (the Facilities, the Project).
Total financing of the Bank will be up to US$50 million in an uncommitted transactional trade finance facility with IFC's investment of up to US$10 million in the form of an unfunded and disclosed participation.
Touton is a leading France-headquartered agro-industrial group with a global footprint spanning 15 offices worldwide that was recently acquired by Hartree Partners LP, a leading global commodity merchant active across a wide array of commodity markets. Touton is among the world's top cocoa traders, purchasing approximately 350,000 metric tons of cocoa annually and accounting for around 8% of global cocoa trade. Cocoa is the core of the Group's business, representing about 75% of its total revenues, with total trading volumes ranging between 300,000 and 400,000 metric tons of cocoa bean equivalents per year. Touton has a long-established presence across key producing origins and is one of the largest exporters of cocoa from Cote d'Ivoire as well as one of the leading exporters from Cameroon, reflecting its strong sourcing, logistics, and market positioning in major cocoa-producing regions.
Banque Internationale de Commerce - BRED (Suisse) SA ('BIC-BRED' or the 'Bank') is based in Geneva and is a wholly owned subsidiary of BRED Banque Populaire, Paris. The Bank was initially established as a branch in 1991 then obtained a full banking license in August 2015 from the Swiss Financial Market Supervisory Authority (FINMA). The mission of the Bank is to finance companies engaged in the trade of energy, agricultural and metal commodities. BIC-BRED covers four sectors related to commodities trade finance to support its customers, including Financial Institutions, FX & Interest rate covers, Trade Finance and Corporate Services.
