According to the IADB, the proposed transaction consists of the subscription of a Senior Sustainability Linked Bond ("SLB") issuance, issued by Banco Davivienda S.A. ("Davivienda Colombia"), denominated in Colombian Pesos ("COP") for an amount equivalent of up to US$150 million (the "Issuance"), structured as follows: (i) a COP-denominated amount equivalent of up to US$75 million to be subscribed by IDB Invest; and (ii) a COP-denominated amount equivalent of up to US$75 million to be subscribed by other investors. The Issuance will have a tenor of up to five years with bullet payment. The Issuance will follow the use of proceeds framework aligned with the Sustainability Linked Bond Principles established by the International Capital Market Association ("ICMA").

The Independent Consultation and Investigation Mechanism (MICI) is the independent complaint mechanism and fact-finding body for people who have been or are likely to be adversely affected by an Inter-American Development Bank (IDB) or Inter-American Investment Corporation (IDB Invest)-funded project.
