Natura Cosmeticos S.A. ("Natura") is a Brazilian company founded in 1969, and controlled by Natura&Co Holding S.A. ("The Holding"), a public entity, which is listed in the Brazilian Stock Exchange (B3). Natura's core business is the production and commercialization of cosmetics, fragrances, and toiletries. The company has five manufacturing plants, and nineteen distribution centers in Latin America, with sales to fourteen countries in the region, having a leadership position in Brazil, Argentina, and Colombia. Since the beginning of its operations, Natura has developed its sales' strategy using direct channels, mostly through an extensive network of consultants that currently reaches around 3.5 million people in the region.
Use of proceeds of the proposed transactions include: (i) the development of new bioingredients from the Amazon Biome, as well as other research and development related investments; (ii) enhancements to the existing manufacturing and distribution infrastructure in its operations in Cajamar, which includes but is not limited to operational expenditure (opex) and capital expenditure (capex); and/or (iii) purchase of equipment, including the acquisition of specialized tools and molds for product line updates and growth, in the Country.
